Gelonghui May 24 丨 Jiayi Holdings (01025pennslammer33500.HK) issued an announcementpennslammer33500On May 23, 2024, the company (as the issuer) entered into a subscription agreement with the subscriber (namely China Agricultural Chuangang Cross-Border E-commerce Industrial Park Co., Ltd.), pursuant to which the subscriber agreed to subscribe and the company agreed to allot and issue a total of 1pennslammer33500.684.8 billion subscription shares at a subscription price of HK$0.1 per subscription share.

The subscribed shares represent approximately 20.00% of the Company's existing issued share capital as at the date of this announcementpennslammer33500; and approximately 16.67% of the issued share capital as enlarged by the allotment and issue of subscription shares. The subscription price is HK$0.1 per subscription share, which is approximately 38.89% higher than the closing price of HK$0.072 per share as quoted on the Stock Exchange on May 23, 2024 (the date of the subscription agreement).

The company intends to use the net proceeds as general working capital of the group.
