Two A-share office software giants Foxin Software (688095) and Jinshan Office (688111)PlayvideopokerforrealmoneyThe litigation dispute ended in settlement.
According to the disclosure of Foxin Software on the evening of April 30, the company recently received the Civil Mediation statement of the Supreme people's Court of the people's Republic of China. The main mediation results are as follows: Jinshan Office and Zhuhai Jinshan Office Software Co., Ltd. (hereinafter referred to as "Zhuhai Jinshan") jointly pay agreed compensation to Foxin Software. After the completion of the above compensation, Foxin Software and Kingsoft Office are involved in the behavior of the "Jinshan Ciba" software without dispute.
The dispute between the two sides originated a few years ago. Foxin Software disclosed in January 2022 that at the end of 2019, the company found that 35 Kingsoft Ciba software released on the official website of Kingsoft Office, Kingsoft Ciba and third-party download stations used the PDF technology of Foxin software to achieve the function of "exporting PDF document format" of Kingsoft.
In the view of Foxin Software, the above behavior of Jinshan Office directly and completely plagiarizes the Foxit PDF generation development kit software developed by the company based on PDF engine, which infringes on the copyright of the company's computer software.
At that time, Foxin Software asked the court to order Jinshan Office to compensate for the loss of 35 million yuan and pay related expenses. At the same time, Foxin Software asked the court to order Jinshan Office to apologize to it publicly.
After the case was put on file and accepted by the Fuzhou Intermediate people's Court (hereinafter referred to as the Fuzhou Intermediate people's Court), during the trial, Foxin Software applied to add Zhuhai Jinshan as the co-defendant in the case.
In April 2023, the Fuzhou Intermediate people's Court openly heard the above case and ruled in the first instance that Jinshan Office and others should stop infringement, that is, to stop using software copies that infringe upon the copyright of "Foxin PDF generated Development Kit Software" in "Jinshan Ciba" software, and to stop publishing infringing "Jinshan Ciba" software on the Internet platform; to compensate Foxin Software for corresponding losses and expenses totaling 10 million yuan; and to apologize to Foxin Software.
For the judgment of first instance, Jinshan Office and Zhuhai Jinshan Office disagreed with the verdict and filed an appeal. In the course of the trial, the parties to the lawsuit reached a settlement after the Supreme people's Court presided over mediation.
Foxin Software said that this is the conclusion of the second instance mediation, the parties reached a mediation by the defendant of first instance / appellant of second instance to bear the liability for compensation, which will not have a significant adverse impact on the day-to-day operation of the company. nor will it have a negative impact on the company's current and future profits and losses. However, there is the possibility that the other party fails to fulfill the payment obligation as agreed.
According to public information, as the two giants of domestic office software, Jinshan Office had cooperation with Foxin Software in the early years.
In November 2011, Foxin Software and Zhuhai Jinshan signed a "Software Cooperative Development Technology Agreement". The name of the agreement cooperation project is "OFFICE document format to PDF document format".
In recent years, the two sides have had a large number of disputes over the development and use of PDF technology, and triggered related lawsuits.
In May 2016, Foxin Software, based on the fact that Jinshan Office used the "OFFICE document format to PDF document format" technology stipulated in the above-mentioned 2011 agreement in its WPS office software, which constitutes a breach of contract, sued for termination of the Software Cooperative Development Technology Agreement between the two parties and claimed 100 million yuan.
In April 2020, the Beijing intellectual property Court ruled that the Software Cooperative Development Technology Agreement signed by the two parties in November 2011 was terminated on November 18, 2014, and Zhuhai Jinshan compensated 300000 yuan (the final award was changed to 1.5 million yuan for Foxin Software).
In November 2018, Foxit Software filed a lawsuit on the grounds that Jinshan Office used the PDF technology of Foxit Software in four versions of WPS office software, infringing the copyright of the company's computer software.
From a business point of view, the performance gap between Foxin software and Jinshan office is large. At the same time, the company's domestic institutional customer business also increased compared with the same period last year. For example, the number of paying enterprises in public cloud services increased by 83% compared with the same period last year.
By the end of 2023, Foxin Software had applied for a total of 236 patents and obtained 194 patents, including 138 software copyrights. Jinshan Office applied for 4074 patents and obtained 2493 patents, including 720 software copyrights.
